Ukrayna Rekabet Kurulu Approved CRH Group's Acquisition of Poriston

The Antimonopoly Committee of Ukrayna (AMCU) officially announced its approval for the acquisition of the aerated concrete manufacturer Poriston by the company "Mikolayivçement", which is part of the CRH group, a globally leading building materials manufacturer. The said decision was announced to the public by being published on the Committee's official website and was put into effect on Thursday. With this approval, the CRH group obtained the authority to take over the Poriston brand from the investment company named BGV Group Management. The main body of the agreement consists of the transfer of the majority stake of Poriston Grup LLC. The approval of the competition authorities in this process is considered an indication that no obstacle has been created to the free movement of trade.

Poriston, which is the subject of the transfer, is a well-known brand that produces aerated concrete at the former Aeroc facilities operating in the Obukiv and Berezan facilities, located in the Kyiv region. BGV Group Management, led by Gennadiy Butkeviç, purchased these production facilities in 2025 for approximately 1,9 billion Grivna and added them to its portfolio. Within the scope of the new agreement, it is planned that the CRH group will take over a 51 percent majority stake of the said facilities and the brand. BGV Group Management, on the other hand, is a diversified investment company operating in various sectors such as mining, energy efficiency, retail, and real estate. This major operation indicates a significant change of hands in the production capacity in the building materials market in the region.

The permissions granted by the Antimonopoly Committee were not limited to the main acquisition transaction; the committee also approved additional regulations for the companies BGV Group Limited, Mikolayivçement, and Trident Geoinvest Ukraine. Compliance with certain competition restrictions for a period of five years within the framework of a partnership agreement to be signed in the future between these companies was also legally adopted. It is stated that Poriston Grup is also among the parties involved in the contract and that corporate-level cooperation is planned for the long term. The competition committee stated that it is convinced that such agreements will not distort competition in the market. Similar corporate steps are considered to aim to strengthen the operational integration of companies while preserving their market shares.

In a statement made by the press service of the CRH group, it was emphasized that this acquisition aims to further strengthen their assets in the building materials market of Ukrayna. The company's management stated that this step is also a clear proof of their long-term and unwavering commitment to Ukrayna. According to the records of the National Securities and Stock Exchange Commission, the sole shareholder of Mikolayivçement, with a 100 percent rate as of the first quarter of 2025, is the Netherlands-based company CRH Ukraine B.V. Mikolayivçiment is also an important part of the CEMARK group, one of Ukrayna's leading cement producers. This integration structure reveals how deep-rooted and organized the CRH's industrial network in the region is.

CRH, whose general headquarters is in Ireland, has a highly respected position in the global market as the largest building materials supplier in North America and Europe. The company dominates a massive international network with approximately 3,200 facilities in 28 different countries and nearly 71 thousand employees.
