Shell Completes Acquisition of ARC Resources for $16.5 Billion

Shell has completed its acquisition of Canadian oil and gas company ARC Resources.

The deal adds approximately 370,000 boe per day of production, supporting Shell's target of approximately 4% compound annual growth through 2030. Shell CEO Wael Sawan highlighted the ARC team's high-performance culture and expertise in the Montney basin.

Under the financial terms, ARC shareholders will receive 8.20 CAD in cash and 0.40247 Shell shares for each share. The transaction's equity value is approximately $13.9 billion USD, with an enterprise value including debt of $16.5 billion. Financing will be met with $3.3 billion in cash and $10.6 billion in new Shell shares. The acquisition is expected to contribute to free cash flow per share from 2027 onwards and deliver double-digit returns.

The purchase expands Shell's production assets in Canada while complementing its existing LNG infrastructure and downstream businesses, including refining, chemicals, fuel retail, aviation, lubricants, and low-carbon solutions. All required shareholder, court, and regulatory approvals have been obtained and the integration process has begun.
